INTRODUCTION
This policy governs your use of the WooBody website and App (the "Website" and the "App"). These Terms establish a legally binding contractual relationship between you and the Company. For this reason, PLEASE READ THE TERMS CAREFULLY BEFORE USING THE SERVICE.
WooBody (formerly Welnify Ltd) (together with our affiliates, "WooBody", "we", or "us") provides an online platform for training in real-time through mobile apps for Android and iOS devices.
TERMS AND RIGHTS OF USING THE APP
By, as applicable, accessing or using the Services in any manner, including, but not limited to, visiting or browsing the Site, downloading the App (s), or contributing content or other materials to the Site or on or via the App (s), you agree to be bound by the Terms of Service. You are only authorized to use the Services if you agree to abide by all applicable laws and to the Terms of Service.
If you do not wish to be bound by these Terms, you may not access or use the WooBody Service.
WHO MAY USE THE WOOBODY APP
You must be at least 18 years old, or the age of legal majority in your jurisdiction of residence, to participate in a training class provided by the WooBody platform and/or apps.
At our sole discretion, we may refuse to offer the WooBody Service to any person or entity and change the eligibility criteria at any time.
Each trainer may start using WooBody if the Trainer is officially certified to practice paid training with real Trainees.
USER REGISTRATIONS
If you register a Profile, you represent and warrant to the Company that:
(i) all required registration information you submit is truthful and accurate;
(ii) you will maintain the accuracy of such information;
(iii) your use of the Service does not violate any applicable law or regulation or these Terms. Otherwise, the Service may not operate correctly, and we may not be able to contact you with important notices.
Users of WooBody are responsible for securing their account with a password by their choice and keeping it secure.
SAFETY PRECAUTIONS
The Company and/or all trainers do not offer or provide any kind of medical advice, health insurance, or other healthcare services, including without limitation, any counseling, testing, evaluation, prescription, procedure, or therapy related to exercise, nutrition, weight loss or wellness or related to the avoidance, prevention, diagnosis or treatment of any injury, illness, disease or condition (collectively, "healthcare services").
The WooBody service may not be appropriate for all persons and is not a substitute for professional healthcare services. The Service is intended only as a method, which may help achieve your overall health and fitness goals.
You acknowledge that your diet and exercise activities involve risks, which may involve the risk of bodily injury or death, and that you assume those risks. Before accessing or using the Service, and agree to release and discharge the Company from any and all action, known or unknown, arises from your use of the Service.
Consult a physician before beginning a new training if you suffer from any physical or mental disorder. Incorrect or excessive training can result in serious injury or death.
If you feel faint chest pain or shortness of breath, stop exercising immediately.
TERMINATION - ACCOUNT DELETION
These Terms begin on the date you register an account at WooBody and/or first use the WooBody Service and continue as long as you have an account with us and/or continue to use the WooBody Service.
Upon termination of these Terms, all licenses granted by WooBody will terminate.
In the event of account deletion for any reason, User Content may no longer be available, and WooBody is not responsible for the deletion or loss of such User Content. For clarity, if you request account closure or it is terminated for any reason, you will lose access to all live classes and any other Content or features provided through the WooBody Service.
WooBody reserves all rights to delete and/or block an account due to abusive behavior; illegal or harmful activities or substances; discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; fraudulent, false, misleading, or deceptive behavior; infringes, misappropriates or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy.
WooBody reserves the right to disable any trainer account due to unusual activity without any prior notice. It may be caused by any kind of activity.
THIRD-PARTY LINKS AND CONTENT
There may be links on the WooBody App and/or Site to sites that are operated by a third party. WooBody neither controls nor endorses these sites nor has WooBody reviewed or approved the content that appears on them.
WooBody is not responsible for the legality, accuracy, or inappropriate nature of any content, advertising, products, or other materials or available from any such third-party site.
You acknowledge and agree that WooBody is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the access or use of any of the links, content, goods, or services available on or through these third party sites.
Going to third party or off-site websites or apps from the Website or App is at your own risk. These links do not imply endorsement of, sponsorship of, or affiliation with WooBody.
LIMITATION OF LIABILITY
All information is provided by WooBody on an "as is" basis only. WooBody provides no representations and warranties, express or implied, including the implied warranties of fitness for a particular purpose, merchantability, and non-infringement.
WooBody do not bear any liability for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, economic or pure economic losses, goodwill, use, data, service interruption, computer damage, low streaming quality, system failure, inability to use the WooBody Service or Content or other intangible losses, even if a limited remedy set forth herein is found to have failed its essential purpose; and
WooBody's total liability to you for all claims, in the aggregate, will not exceed the amount actually paid by you to WooBody over the one month preceding the date your first claim(s) arose.
SAFETY WARNING
When interacting with other WooBody members, you should exercise caution and common sense to protect your personal safety and privacy.
The WooBody Service offers health and fitness information and is designed for educational and entertainment purposes only. Every user should consult their physician or general practitioner before beginning a new program and/or training. Every WooBody user should not rely on this information as a substitute for, nor does it replace professional medical advice, diagnosis, or treatment.
If you have any concerns or questions about your health, you should always consult with a physician, general practitioner, or other healthcare professional. Do not disregard, avoid or delay obtaining medical or health-related advice from your healthcare professional because of something you may have read on the WooBody site and/or App or heard on the WooBody Service. The use of information provided through the WooBody Service is solely at your own risk and is not medical or healthcare advice.
INTELLECTUAL PROPERTY ACKNOWLEDGEMENT
The organization, content, script, code, design, graphics, and other materials related to this Site are protected under applicable copyrights and other proprietary laws, including but not limited to intellectual property laws. Without our prior written permission, the copying, reproduction, use, modification, or publication of full or part of any such matters or any part of the Site by you is strictly prohibited.
Subject to your compliance with these Terms and solely for so long as we permit you to access and use the WooBody Service, WooBody grants you a limited, non-transferable, non-exclusive, revocable right and license to access and use the WooBody Service for your own personal, non-commercial purposes, a right which may not be assigned or sublicensed to anyone.
WooBody expressly reserves all rights, including all intellectual property rights, in all of the foregoing, and except as expressly permitted by these Terms, any use, redistribution, sale, decompilation, reverse engineering, disassembly, translation, or other exploitation of them is strictly prohibited. The provision of the Service does not transfer to you or any third party any rights, title, or interest in or to such intellectual property rights.
You grant the Company the non-exclusive, worldwide, transferable, perpetual, irrevocable right to publish, distribute, publicly display and perform the User Content in connection with the Service.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless WooBody and its directors, officers, employees, and agents from and against all claims, damages, losses, and costs that arise from or relate to
- your activities on the WooBody Service,
- any User Content submitted by or on behalf of you or
- your violation of these Terms.
GOVERNING LAW
The Website and App, and your use hereof, is governed by the Republic of Ireland's laws, without regard to Ireland's choice of law provisions. Any claim arising out of your use of this Website and App must be brought to Ireland.
CONTENT MANAGEMENT
Each user of the Service is solely responsible for any and all his or her User Content. Because we do not control the User Content, you acknowledge and agree that we are not responsible for any User Content and we make no guarantees regarding the accuracy, currency, suitability, or quality of any User Content, and we assume no responsibility for any User Content. Your interactions with other Service users are solely between you
and such users.
You agree that the Company will not be responsible for any loss or damage incurred as the result of any such interactions. If there is a dispute between you and any Service user, we are under no obligation to become involved.
We reserve the right in our sole discretion to edit or delete any documents, information, or other content appearing on the Site, including this Agreement without any notice requirement or obligation to you.
Trainer content available to public access, provided by the Trainer, from the WooBody Service has to be accurate and up to date. This includes text, images, names, and personal details.
TECHNICAL REQUIREMENTS
Every User of WooBody Service, whether it is a Trainee or a Trainer, needs to have the necessary technical equipment to participate in a class. It can be a mobile device with the following parameters:
1. Front Camera - 8 MP (megapixels) or above
2. RAM - at least 1.5GB available (free) RAM
3. Internet Connection with at least 20 Mbps speed
4. Battery - 40% battery capacity or more
Additional equipment in favour of Trainers:
1. Hands-free headphones and speaker
2. Additional mobile camera
3. Mobile device stick to keep the device static during the training
4. Remote controllers
FEES AND PAYMENTS
WooBody Service is a paid platform for training. Every Trainee pays the entry fee to watch a class after 5 minutes of watching the class. All credit card payments are processed automatically through Stripe. There are no additional fees for Trainees.
Every Trainer pays a commission for using the WooBody platform, which is deducted from the Trainer's balance. Trainers may also pay for premium features for their Classes, Profiles, other premium features related to their practice. The price of such a fee is described fully in the payment section.
There are no additional fees for using WooBody Service.
Every user should be aware that additional charges may appear for mobile data usage due to the nature of WooBody online classes delivered through live streaming technology.
If a WooBody user had doubts about payment information published in the Site and/or App, the user must contact WooBody customer support for further investigation.
IDENTIFICATION
In some cases, WooBody Service may require identity verification of users. It may include but is not limited to ID verification, proof of address, proof of bank account, proof of credit card ownership, etc.
REFUND POLICY
Every Trainee of WooBody may request a refund of payment in the following situations:
1. The is ended accidentally by the Trainer, and it can not complete the training
2. The Trainer does not provide professional training.
3. There is a non-recognized transaction in Trainee Transaction History.
Every dispute about payment must happen electronically upon contact with WooBody's customer support.
WooBody can not guarantee that every case and/or situation and/or request may lead to a full refund of the paid amount.
WooBody Service doesn't have a free trial for any of its services and features. The Trainees only have free 5 minutes of watching a class before charging.
WooBody users may not proceed with a refund due to a problem with the user's device, interruption during the class caused by the phone activity, or other related activities caused by the users' devices.
TRAINING
Trainers have to comply with the following requirements:
- Good-looking place for training with all the required safety precautions;
- No advertising of 3rd party brands related to sports, nutrition, accessories;
- No recommendations to invite Trainees to platforms outside of WooBody;
- The necessary technical equipment;
- Appropriate apparel for training;
Trainees are responsible for their training process and to prepare their training environment, which may include but not limited to:
- Appropriate apparel;
- Safe place to do training;
- Technical equipment;
TRAINER CERTIFICATION
Every Trainer registered at WooBody to teach must have a valid certificate to operate as a trainer. The lack of certification we'll lead to account closure. The certificate must be submitted during the registration process or lately by request. WooBody may ask Trainers to send new certificates
WooBody Service doesn't certificate Trainers for their training.
EARNINGS PROGRAM
1. Affiliates
Affiliate commission is generated when a user purchases and spend credits in any of the paid sessions available at the Site. Commission earnings are calculated in real-time and displayed on the Affiliate Dashboard.
The connection between user and affiliate happens through an invite code. The affiliate will gain earnings only if the user submits the invite code on the registration page.
Free credits may be credited to users registered with an invite code.
Withdrawals of affiliate earnings happen via bank transfer, paypal, or upwork. The min threshold for withdrawal is 100 EUR. Automatic withdrawal will execute the process if the user has submitted payment method and the minimum required balance. Withdrawal fees may apply.
2. Trainers
2.1. Commission per session - the Site is using a commission-based business structure to main the service. All trainers are subject of commission from their earnings. The commission is reduced directly from each payment during a paid session. All commissions apply for paid classes, not for Free sessions. Commission changes apply upon additional communication.
2.2. Affilaite earnings - each trainer participates automatically in the affiliate program to earn additional percent from the payments of all their trainees/users. The affiliate dashboard is a separate web application, outside the mobile apps. To take advantage of affiliate models, the trainer has to use invite codes when they bring their audience to the app.
2.3. Pay-per-attendance - trainers may become part of the additional Reward program for extra earnings paid per user attendance. It counts each user in trainer's session, whether an invite code is used or not and/or the class is free or paid. This incentive programs run periodically and they're not constant.

Terms for 'Double Your Earnings':
- Generate a minimum of $20 from all your sessions.
- Minimum number of paid users per month 3.
- Minimum number of classes per month 5.
Terms for 'Earn 20% extra up to 500$'
- Everything above 250$ per month is eligible;
- Minimum number of paid users per month 6;
- Minimum number of paid classes per month 10;
We reserve the right to cancel the contract and not double the money if there are any attempts at scams or illicit activities of offer manipulation. In such cases, we only send 100% of the earnings without the bonus.
You can sell:
- single class entry
- entire monthly programs
- private and public sessions
- individual or group classes
Note:
- The job is to double your earnings. We do not pay per hour or per free user.
- The entire idea is gain earnings from our audience or to use our app instead of Zoom/Whatsapp/Skype/Meet with your students.
- Users (Students) pay via ApplePay or GooglePay (where they can use any local or card payment). We do NOT ask for payment information.
- We double the money you earn from any student.
- Payments can be released Weekly or Monthly once the threshold of 250$ is achieved.
- Tracking of earnings happen through the app dashboard of the trainer.
NOTICES
You consent to receive all communications, including notices, agreements, disclosures, or other information from WooBody electronically. WooBody may communicate by email or by posting to the WooBody Service.
